- LED Flex warrants that on delivery, and for a minimum period of 5 years from the date of delivery (Warranty Period), the Products shall:
- Conform in all material respects with the Product Specification.
- Be free from material defects in design, material and workmanship.
- Be of satisfactory quality (within the meaning of the Sale of Goods Act 1979).
- 1.1 A notice of defect shall be submitted in writing and specifically state the defect in question (Warranty Claim).
- 1.2 Complaints for incomplete delivery and other visible defects shall be notified to LED Flex without delay, but no later than one week after delivery, in writing.
- 1.3 Hidden defects shall be notified without delay, but no later than one week after detection during the Warranty Period.
- 1.4 Acceptance of the Products shall not be denied on the grounds of insignificant defects. Claims for defects notified belatedly are excluded.
- 2.1 Products shall be made available to LED Flex for inspection upon request, subject to any return merchandise authorization procedures as updated from time to time.
- 2.2 Costs for inspection shall be borne by LED Flex if defects are found to be its responsibility. Otherwise, the Buyer shall bear these costs.
- 2.3 If the Products are not made available for inspection, then the Buyer shall bear the cost of replacement until the Products can be returned and inspected. A full refund for the replacement Products shall be made if inspection proves that the Products are defective due to a fault for which LED Flex is responsible.
- 2.4 Where LED Flex (acting reasonably) determines that the Products are defective due to a fault for which it is responsible, and the Buyer has notified LED Flex in accordance with this clause 10, LED Flex will, at its discretion, remedy the defective Products either by correcting the defect (repair) or by supplying non-defective Products (replacement). The remedy shall be made without any acknowledgment of a legal obligation. In the case of repaired or replaced Products:
- 2.4.1 the remaining period of any Warranty Period shall begin on the date of the delivery of the repaired or replacement Product(s); and
- 2.4.2 these General Terms and Conditions shall apply to the repaired or replacement Products.
- 2.5 Any claims on the part of the Buyer for any expenses or costs necessary for the purpose of remedying the Warranty Claim, in particular but not limited to any costs to remove and re- install Product(s) (or component(s) of the Product(s)), shipping, transit, labour and material costs, are excluded under this clause 10 to the extent permissible by English law. If the Buyer requests LED Flex to deliver the repaired or replacement Products to a location other than the original Delivery Location, LED Flex may invoice the Buyer for any extra costs incurred by LED Flex as a result.
- 2.6 Any other warranty claims, regardless of their nature, shall be excluded without prejudice to any claims for damages that are limited pursuant to clause 14.3.
- 2.7 The Buyer shall bear the reasonable costs resulting from an unjustified assertion of a Warranty Claim (e.g. if the Products are not defective); the same shall apply if LED Flex wrongfully grants warranty rights without being obliged to do so.
- 3.1 If the exact product range is unavailable during the warranty period, equivalent technology products will be provided as replacements.
- 4.1 Confirming spare availability for a specific period will be treated as a separate case. Costing will depend on the spare percentage and the items included in the project.
- 5.1 The Buyer's warranty will be voided if the Products are joined to, assembled with, connected to, controlled by, or operated with power supplies not supplied by or otherwise agreed in writing by LED Flex.
- 5.2 Use of an unapproved or non-compliant power supply that does not meet the recommended specifications outlined in the product documentation will void the warranty.

- 8.1 LED Flex shall not be liable for any failure to comply with the warranty set out in clause 10.1 and there shall be no Warranty Claims:
- 8.1.1 for insignificant deviations from the agreed properties unless they have a substantial adverse effect on the intended use.
- 8.1.2 for any specific exclusions (including but not limited to in relation to discolouration, output and failure rate of Products) as identified in the Product Specification or any Document.
- 8.1.3 for normal wear and tear, wilful damage, negligence, improper or negligent handling or abnormal working conditions, unsuitable or incorrect use, incorrect installation or commissioning by the Buyer or third parties subcontracted by the Buyer, excessive operational demands, use of unsuitable materials and supplies or substitute materials, inadequate construction work, unsuitable subsoil material or other special external influences.
- 8.1.4 for any further use of such Products after giving notice to LED Flex.
- 8.1.5 for the Buyer’s failure to follow LED Flex’s instructions or specification, including as to the operation and maintenance of the Products or the recommendations of any manufacturer of any components of the Products, as set out in any instructions or specification or manufacturer warranty or as subsequently updated or supplemented by LED Flex or the manufacturer.
- 8.1.6 where the defect arises as a result of LED Flex having followed any drawing, design or specification supplied by the Buyer or third party instructed by the Buyer.
- 8.1.7 where the Buyer alters or repairs such Products without LED Flex’s written consent; and
- 8.1.8 where the Products which differ from the Product Specification as a result of changes made to ensure compliance with applicable statutory or regulatory requirements.
- The warranty shall be void under the following circumstances:
- 9.1 Use of an unapproved or non-compliant power supply that does not meet the recommended specifications outlined in the product documentation.
- 9.2 Damage caused by reverse voltage, improper wiring, or incorrect installation.
- 9.3 Modification or tampering with the LED strip, its components, or connectors.
- 10.1 Customers must provide proof of purchase and details of the power supply used when submitting a warranty claim.
- 10.2 Any failure caused by the use of an unapproved power supply will not be covered.
- 11.1 Where LED Flex determines that Products are defective due to a fault for which it is responsible, LED Flex may remedy the defect through repair or replacement. Replacements or repairs will restart the Warranty Period from the date of delivery of the repaired or replacement Products.
- 12.1 For components covered under a manufacturer warranty, LED Flex will use reasonable efforts to seek redress from the manufacturer. Liability is limited to recovery under the manufacturer warranty.
- 13.1 Upon expiry of the Warranty Period, LED Flex shall assign to the Buyer any remaining manufacturer warranty that continues in force, to the extent assignable.
- 14.1 Except as provided in this clause, LED Flex shall have no liability for any failure of the Products to comply with the warranty set out in clause 1.
- 14.2 LED Flex provides no guarantee of electrical output from the Products as this is dependent on external factors beyond its control.
